User Agreement

1. Parties and Website Operator

This User Agreement applies to access to the Koral Solutions website and to business inquiries submitted to OLEGUM SRL ("Company", "we", "us"), a Romanian limited liability company registered in Romania, a member state of the European Union.

2. Website Use

You may use this website to learn about our software development, product strategy, infrastructure, and security services and to contact us about a potential engagement. You must not misuse the website, interfere with its security, submit unlawful content, attempt unauthorized access, scrape at abusive volume, or use the lead forms for spam or malicious activity.

3. Business Inquiries

When you submit a lead form, you confirm that the information you provide is accurate, that you are allowed to share it, and that we may use it to respond to your inquiry. Submitting an inquiry does not create a client relationship, exclusivity obligation, or obligation for either party to start a project.

4. Services and Statements of Work

Any paid engagement is governed by a separate written proposal, Statement of Work, service agreement, order form, or similar document accepted by both parties. That document defines the scope, deliverables, timeline, fees, payment schedule, acceptance process, and any project-specific support terms.

If there is a conflict between this website User Agreement and a signed project agreement, the signed project agreement controls for that engagement.

5. Intellectual Property

The website, brand elements, text, visual design, service descriptions, and pre-existing tools, frameworks, know-how, methodologies, and internal systems belong to OLEGUM SRL or its licensors.

Ownership or licensing of client-specific deliverables is defined in the applicable project agreement. Unless otherwise agreed in writing, transfer of ownership or expanded use rights occurs only after full payment of the amounts due for the relevant deliverables. OLEGUM SRL retains rights to pre-existing materials and general skills, ideas, concepts, and know-how developed or used independently of a client engagement.

6. Confidentiality

If either party shares non-public business, product, technical, or security information in connection with a potential or active engagement, the receiving party must use reasonable care to protect it and use it only for the relevant business purpose. More detailed confidentiality obligations may be set in a separate NDA or project agreement.

7. Payments

Fees, invoices, taxes, payment milestones, and late-payment terms are defined in the relevant project agreement or invoice. Unless otherwise agreed in writing, invoices are payable within the period stated on the invoice and work may be paused for overdue amounts.

8. Trust Statements and Service Descriptions

"EU-registered" means that OLEGUM SRL is registered in Romania, an EU member state. It does not indicate approval, certification, or endorsement by an EU institution.

"Security-conscious engineering" and "GDPR-aware delivery" describe our working approach: we consider relevant security and data-protection requirements and agree project-specific responsibilities and controls with the client. These statements are not ISO certification, OWASP certification, legal advice, a guarantee of regulatory compliance, or a promise that a system will be free from vulnerabilities or incidents.

"Founder-led communication" means that a founder or senior company principal remains involved in key relationship and delivery communications. It does not promise exclusive founder availability, a particular response time, or founder participation in every interaction unless a written project agreement says otherwise.

9. Website Disclaimers

The website is provided for general information and business contact purposes. We aim to keep information accurate, but service descriptions, availability, timelines, examples, and statements about our working approach are not binding commitments unless included in a signed agreement.

We do not guarantee that the website will be uninterrupted, error-free, or free from every security risk.

10. Limitation of Liability

To the maximum extent permitted by applicable law, OLEGUM SRL is not liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages arising from website use. For paid services, liability limits are governed by the applicable project agreement. Nothing in this Agreement excludes liability that cannot be excluded under applicable law.

11. Privacy and Cookies

Personal data and cookie practices are described in the Privacy Policy and Cookie Policy. By using the website or submitting an inquiry, you acknowledge that those documents explain how website and lead data is processed.

12. Governing Law and Disputes

This User Agreement is governed by the laws of Romania and applicable European Union law. The parties will first try to resolve disputes through good-faith negotiation. If a dispute cannot be resolved informally, it will be submitted to the competent courts of Brașov, Romania, unless mandatory consumer or data protection rules require another forum.

13. Updates

We may update this User Agreement from time to time. The effective date below identifies the current version. Continued use of the website after updates means the updated terms apply to future website use.
